Subject 1

Company A and Company B entered into a sale contract on 31 December 2007 (â?oSale Contractâ?).

According to which, the parties agreed:

Company B purchases machineries (â?oMachineryâ?) from Company A with one con***ion that Company B is not entitled to re-sell the Machinery to any third party within 6 months from the date of delivery and any breach shall be subject to $1million compensation.

The Machinery shall be warranted for a period of 1 year from the date of delivery;

The Sale Contract shall be terminated when the Machinery is delivered to Company B by Company A.

The Machinery was delivered to Company B by Company A on 1 February 2008. Company B then sold the Machinery to a third party on 1 May 2008.

(1) Company A can initiate a lawsuit against Company B and (2) analyze the rights and obligations of each party and provide your opinion and possible argument if you are engaged to act for (a) Company A or (b) Company B in the event the lawsuit is initiated by Company A against Company B.



Subject 2

Can you advise any legally possible way that an offshore company can acquire unfinished construction work owned by an onshore company and the procedures thereof?
