But we do need to take a glance at the enormous world out there, too. And your topic will surely offer us something useful either horizontally or vertically. Thanks for your adventurous exploration. Hi all, this is Terminology in new lôk. Hope that you can see it clearer
1. Securities means evidence certifying the holder?Ts legal rights and benefits over the relevant part of assets or capital of the issuer. Securities shall be in the form of share certificates, book-entries or electronic data and shall include: :
a) Shares, bonds, fund certificates;
b) Rights to purchase shares, warrants, call options, put options, future contracts, groups of securities or securities indexes.
1. Chứng khoán là bằng chứng xác nhận quyền và lợi ích hợp pháp của người sở hữu đối với tài sản hoặc phần vốn của tổ chức phát hành. Chứng khoán được thể hiện dưới hình thức chứng chỉ, bút toán ghi sổ hoặc dữ liệu điện tử, bao gồm các loại sau đây:

a) Thông qua phương tiện thông tin đại chúng, kể cả Internet;
b) Chào bán chứng khoán cho từ một trăm nhà đầu tư trở lên, không kể nhà đầu tư chứng khoán chuyên nghiệp;
c) Chào bán cho một số lượng nhà đầu tư không xác định.

8. Issuer the organization that carries out the public offering of securities.

9. Underwriter means the securities company allowed tocarry out the securities underwriting and commercial banks permitted to carry out bond issuance underwriting under con***ions set out by the Ministry of Finance.

c) Those who au*** financial statement of a public company or public fund;
d) Other persons who access the internal information in the public company or public fund;
e) Securities companies, securities investment fund management companies and the securities practitioners;
f) Organizations and individuals having business relationship with or providing services to a public company or public fund and individuals working in such organization;
g) Organizations and individuals that directly or indirectly having internal information from those stipulated in points a, b, c, d, e and f of this clause.
23. Người biết thông tin nội bộ là:
a) Thành viên Hội đồng quản trị, Ban kiểm soát, Giám đốc hoặc Tổng giám đốc, Phó Giám đốc hoặc Phó Tổng giám đốc của công ty đại chúng; thành viên Ban đại diện quỹ đại chúng;
b) Cổ đông lớn của công ty đại chúng, quỹ đại chúng;
c) Người kiểm toán báo cáo tài chính của công ty đại chúng, quỹ đại chúng;
d) Người khác tiếp cận được thông tin nội bộ trong công ty đại chúng, quỹ đại chúng;
đ) Công ty chứng khoán, công ty quản lý quỹ đầu tư chứng khoán và người hành nghề chứng khoán của công ty;
e) Tổ chức, cá nhân có quan hệ hợp tác kinh doanh, cung cấp dịch vụ với công ty đại chúng, quỹ đại chúng và cá nhân làm việc trong tổ chức đó;
g) Tổ chức, cá nhân trực tiếp hoặc gián tiếp có được thông tin nội bộ từ những đối tượng quy định tại các điểm a, b, c, d, đ và e khoản này.
24. Connected persons means individuals or organizations that have relations with each other in the following cases:
a) Father, foster-father, mother, foster-mother, spouse, children, adopted children, siblings of an individual.
b) An organization in which an individual is an employee or a (General) Manager or holds more than 10% of voting shares issued.
c) A member of the Board of Directors, Supervisory Board, the (General) Manager, Deputy (General) Manager and other management title of such organization.
d) A person who directly or indirectly controls or is controlled by, or is under a common control with another person;
e) A holding company or a subsidiary;
f) A contractual relation in which one person is a representative of the other person
24. Người có liên quan là cá nhân hoặc tổ chức có quan hệ với nhau trong các trường hợp sau đây:
a) Cha, cha nuôi, mẹ, mẹ nuôi, vợ, chồng, con, con nuôi, anh, chị em ruột của cá nhân;
