    I want to ask some questions about alien corporations. I know what the definition for an alien corporation is, but I am not sure whether it does business mainly in U.S or in the country where it was formed?
    Besides, is there a case when an LLC is formed in a foreign country, and does business in US? Do you call a "công ty TNHH" in VN an LLC or an alien corporation if it does business in US?
    Can alien corporations get tax advantage (flow-through) or any other advantages at any state in US?
    What are the legal requirements for a foreign company to set its office or do business in US?
    I hope none of my questions confuses you . Thank you in advance.

    Apologies that I could not have time to answer the question on â?oalien corporationâ?. I would like to answer as follows:
    (1) A non-US corporation is permitted to do business in the United States as long as it establishes (i) a branch office, (ii) a limited liability company (â?oLLCâ?), or (iii) a partnership (collectively called as â?oNew Corporationâ?) in a state in the United States.
    (2) There is no tax advantage on a New Corporation in the United States. Such New Corporation will be treated equally as a US incorporated company.
    (3) In order to establish an LLC in the United State, it must submit to a state, where it wishes to be incorporated, (i) a Certificate of Information called Articles of Association, and (ii) a LLC Agreement. If such LLC wishes to do business in another state of the United States or in order words in another business jurisdiction in the United States, it shall need *****bmit a document to request doing business as a â?oforeign corporationâ? in such other state. Since this is a state matter please liaise with the state where you wish to establish a corporation and engage a lawyer for legal assistance. The process for the establishment of a New Corporation in a state of the United State is very speedy and inexpensive. It normally takes from two to five days. Please let me know if you are interested in partnership or branch office also tax matters which are highly complicated.
    Please let me know if you have any other queries in relation to incorporation in the United States.

    I know that you don''t have a lot of time to answer my question to details. But would you please tell me a little bit more about LLC and New Corporation? For instance, does the state require an LLC to have at least certain numbers of US citizens to be members? I haven''t heard about a non US resident or citizen being about to file an LLC, so it is hard to imagine . Besides, what type of visa is issued to that a non US resident or citizen and how? The same questions for New Corporation .
    And it sounds unfair for a partnership (or New Corporation) to have to pay double tax like a US incorporated company. Because if it is a small one and the general partners (for example) want to treat the New Corporation as their own property, not as an individual, then they still have to pay double tax?
