    I know that you don''t have a lot of time to answer my question to details. But would you please tell me a little bit more about LLC and New Corporation? For instance, does the state require an LLC to have at least certain numbers of US citizens to be members? I haven''t heard about a non US resident or citizen being about to file an LLC, so it is hard to imagine . Besides, what type of visa is issued to that a non US resident or citizen and how? The same questions for New Corporation .
    And it sounds unfair for a partnership (or New Corporation) to have to pay double tax like a US incorporated company. Because if it is a small one and the general partners (for example) want to treat the New Corporation as their own property, not as an individual, then they still have to pay double tax?

    I would like to answer your new questions as follows:
    (1) LLC is a limited liability company which is one of the three types that is allowed under the law of a state of the United States. Other types are partnership and branch office.
    (2) LLC means your liability is limited to the amount of contribution by each member of the LLC. This is different from the liability incurred by a partnership or a branch office.
    (3) There is no general requirement that the LLC must have at least one US citizen or resident in the Board of Directors. Pleaese note that the establishment of an LLC is a matter of state law. Please do not understand the legal requirements imposing on an LLC fall under the jurisdiction of federal laws.
    (4) If you have not heard about the fact that a non-US citizen will be able to establish an LLC you had better hire a lawyer in your state who will be able to explain this to you in detail.

    This is not the case of a partnership where tax only imposes on a member only.
    (8) In 1996, the Internal Revenue Service promulgated a new regulation which allowed an LLC to specify whether it would wish to follow the method of (i) double tax or (ii) pass-through (as does a partnership). If you wish to avoid paying double tax you will need to tick option (ii) upon registration of your LLC.
